Governance

As the Netherlands’ national financing and development institution and a state-owned enterprise, Invest-NL is transparent about how we apply corporate governance standards and guidelines. As a state-owned entity, we adhere to the principles and best practices of the Dutch Corporate Governance Code. We follow the ‘comply or explain’ principle to account for our approach.

Private company

Invest-NL is a private company funded with public resources. Our shareholder is the Dutch Ministry of Finance. The shareholder has appointed a Supervisory Board to oversee the management of Invest-NL. There is no political steering. Invest-NL is governed by an Executive Board, a Supervisory Board, and two committees that advise the Supervisory Board.

Executive Board

The Executive Board is responsible for the day-to-day management of Invest-NL. This includes defining and executing the strategy, achieving objectives, overseeing performance, ensuring compliance with relevant laws and regulations, and managing risks.

Rinke Zonneveld

CEO

He is a highly experienced public entrepreneur. Rinke prefers to operate at the intersection of private and public with strong connections to the financial sector and knowledge institutions. He had a long career at the Ministry of Economic Affairs, where he served as director of industry policy AI and director of entrepreneurship, among other roles. Subsequently, he became the founding director of InnovationQuarter, the regional development agency for South Holland. Over the past ten years, he has been ultimately responsible for over a hundred investments in young innovative companies.

Jellie Banga

Chief Business Officer

Has more than 20 years of experience in sustainable finance. From 2013 to 2021, she served on the Board of Directors of Triodos Bank, where she held the position of COO/CCO and was responsible for overseeing the bank's European network. Prior to that, she worked at ING in various management roles in the areas of corporate lending, strategy, and as a corporate secretary. Her passion is to maximize the transformative power of money for the transitions that are urgently needed for a sustainable, equitable, and enduring world. In 2022/2023, Jellie was the CEO of Impact Institute, an Amsterdam-based scale-up focused on measuring and valuing social impact.

Jan Pieter Postma

Chief Financial & Risk Officer

Has over 20 years’ experience in banking and has held various management positions at ABN AMRO. After a conscious move to Triodos Bank, Jan Pieter went on to develop further in the field of sustainable investment. In his last role, he was responsible for Finance & Risk as a Management Board member at Triodos Bank Nederland. Jan Pieter is particularly passionate about the energy transition and its financing, including the business cases of making his own house more sustainable and solar panels at the local school in his area.

Supervisory Board

The Supervisory Board monitors the policies pursued, the overall operations of Invest-NL, and the performance of the Executive Board. In addition, the Supervisory Board advises and supports the Executive Board. In carrying out their duties, Supervisory Board members act in the best interest of Invest-NL.

The Supervisory Board consists of four members. Members are appointed for a term of four years, with the possibility of one four-year renewal.

Committees of the Supervisory Board

In fulfilling its supervisory role, the Supervisory Board is supported by two committees: the Audit & Risk Committee and the Remuneration and Appointment Committee. The powers and responsibilities of these committees are defined in their respective regulations.

Whistleblower policy

At Invest-NL, we believe in acting with integrity and responsibility towards each other and all stakeholders. Preventing misconduct is a key part of this commitment. That’s why we have implemented a SpeakUp Policy, allowing employees to report (potential) misconduct at an early stage in a low-threshold, confidential, and safe manner.



Confidential advisors

In situations where an employee feels uncomfortable at work or believes that our organizational principles are being compromised, Invest-NL has appointed two confidential advisors. Employees can reach out to them at any time for confidential conversations and advice.
